CloudOrbit provides software and related services designed to help organizations accelerate go-to-market activities within cloud marketplace ecosystems. Features, functionality, and service offerings may change from time to time.
3. Eligibility
You represent that you have the legal authority to enter into these Terms and, if acting on behalf of an organization, that you have authority to bind that organization.
4. User Accounts
You are responsible for maintaining the confidentiality of account credentials and for all activities occurring under your account. You must promptly notify CloudOrbit of any unauthorized use.
5. Acceptable Use
You agree not to misuse the Services, interfere with platform operations, attempt unauthorized access, transmit malicious code, violate applicable laws, or use automated tools in a manner that disrupts the Services.
6. Subscription and Payment Terms
Certain Services may require payment. Fees, billing schedules, renewal terms, taxes, and payment obligations will be described in applicable order forms or subscription agreements.
7. Intellectual Property
All software, content, trademarks, logos, documentation, and platform materials remain the property of CloudOrbit or its licensors. Except as expressly permitted, no rights are granted beyond the limited right to use the Services.
8. Customer Data
You retain ownership of data you submit to the Services. You grant CloudOrbit the rights necessary to host, process, transmit, and display such data solely to provide and improve the Services.
9. Feedback
Any suggestions, ideas, recommendations, or feedback provided to CloudOrbit may be used without restriction or compensation.
10. Confidentiality
Each party agrees to protect confidential information received from the other party using reasonable safeguards and not disclose it except as permitted by law or agreement.
11. Third-Party Services
The Services may integrate with third-party products or platforms. CloudOrbit is not responsible for third-party services and their use may be subject to separate terms.
12. Service Availability
CloudOrbit will use commercially reasonable efforts to maintain service availability but does not guarantee uninterrupted or error-free operation.
13. Privacy
Your use of the Services is also governed by the CloudOrbit Privacy Policy, which is incorporated by reference into these Terms.
14. Suspension and Termination
CloudOrbit may suspend or terminate access for violations of these Terms, security concerns, legal requirements, or nonpayment. You may stop using the Services at any time subject to applicable subscription commitments.
15. Disclaimers
THE SERVICES ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDORBIT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDORBIT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO CLOUDORBIT DURING THE TWELVE MONTHS PRECEDING THE CLAIM.
17. Indemnification
You agree to defend, indemnify, and hold harmless CloudOrbit from claims arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights.
18. Governing Law and Disputes
These Terms shall be governed by the laws specified in the applicable order form or, if none is specified, the laws of the jurisdiction where CloudOrbit is established. The parties agree to attempt informal resolution before initiating formal proceedings.
19. Changes to the Terms
CloudOrbit may update these Terms from time to time. Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
20. General Provisions
If any provision is found unenforceable, the remaining provisions will remain in effect. These Terms constitute the entire agreement regarding the Services unless superseded by a separate written agreement.
